The rules and conditions for using CardifyAI and its browser extensions.

By accessing or using CardifyAI (including the web app and browser extensions), you agree to be bound by these Terms of Use. If you do not agree, you must not use the service.

1. Agreement to terms

These Terms of Use (“Terms”) form a legally binding agreement between you and CardifyAI (“we”, “us”, or “our”) regarding your access to and use of:

  • The CardifyAI website and web application located at cardifylabs.com (the “Site”);
  • The CardifyAI browser extensions for Chrome, Edge, and other browsers (the “Extensions”); and
  • Any related services, features, or content we provide (collectively, the “Service”).

By creating an account, logging in, or using any part of the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility

You may use CardifyAI only if:

  • You are at least 13 years old (or the minimum age in your jurisdiction); and
  • You have the legal authority to agree to these Terms on your own behalf; and
  • You comply with these Terms and all applicable laws.

If you are using the Service on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on its behalf.

3. Accounts and security

To use CardifyAI, you may need to sign in via Google or another authentication method we support. You are responsible for:

  • Maintaining the confidentiality and security of your login credentials.
  • All activities that occur under your account.
  • Not sharing your account with others.

You agree to notify us promptly if you suspect unauthorized use of your account. We reserve the right to suspend or terminate your account for any violation of these Terms.

4. Subscriptions, billing, and cancellation

CardifyAI offers both free and paid subscription plans. Plan features, pricing, and limits (such as daily card generation limits) are described on the Site and may be updated from time to time.

  • Billing: Paid plans are billed through our payment processor (e.g., Stripe). By subscribing, you authorize us and our payment processor to charge your chosen payment method on a recurring basis until you cancel.
  • Renewal: Subscriptions typically renew automatically at the end of each billing period unless you cancel before your renewal date.
  • Cancellation: You can manage or cancel your subscription via the billing portal (for example, through the “Manage Billing” link in the app). Cancellation takes effect at the end of the current billing period, unless otherwise stated.
  • Refunds: Unless required by law, all fees are non-refundable. In some cases, we may offer refunds or credits at our sole discretion.
  • Plan changes: We may modify plan features or pricing in the future. If we make significant changes, we will take reasonable steps to notify you.
5. License and acceptable use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to:

  • Access and use the Site and web app for your personal or internal use; and
  • Install and use the Extensions on devices you own or control, solely for use with your account.

You agree not to:

  • Use the Service for any illegal, harmful, or abusive purpose.
  • Reverse engineer, decompile, or attempt to derive source code from the Service, except where permitted by law.
  • Bypass or interfere with security features or usage limits (such as daily card limits).
  • Upload or transmit any content that is unlawful, defamatory, or infringes another’s rights.
  • Use automated tools or bots to abuse the Service beyond what is reasonably expected.
  • Resell or sublicense access to CardifyAI without our prior written consent.
6. Your content (notes, PDFs, flashcards, reviews)

You may submit content to CardifyAI, including text, notes, PDFs, and reviews (“User Content”). You retain ownership of your User Content. However, by submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to:

  • Process the content to generate flashcards and related outputs for you.
  • Store and display your flashcards within your account.
  • For reviews or feedback you submit, display them on the Site or in other promotional materials, subject to moderation.

You represent and warrant that you have all necessary rights to submit the User Content and that it does not violate any law or third-party rights (for example, copyright or privacy rights).

7. Reviews and testimonials

CardifyAI may allow you to submit reviews or testimonials about the Service. By submitting a review:

  • You grant us permission to display, reproduce, and distribute your review (including a display name, such as your first name or email handle) on the Site and in promotional materials.
  • You agree that your review will be honest, based on your actual experience, and not misleading or defamatory.
  • You understand that we may moderate, edit for clarity, or remove reviews at our sole discretion (for example, if they violate these Terms or applicable law).
8. Intellectual property

The CardifyAI Service, including all software, design, logos, text, graphics, and other content we provide (excluding User Content), is owned by or licensed to us and is protected by intellectual property laws.

You agree not to remove or alter any proprietary notices, logos, or branding, and not to use our trademarks in a way that suggests endorsement or affiliation without our prior written consent.

9. AI-generated content disclaimer

CardifyAI uses AI models to help generate flashcards and other outputs based on your input. While we strive for accuracy and usefulness:

  • AI-generated content may contain errors, omissions, or outdated information.
  • You are responsible for reviewing and verifying all content before relying on it for studying, exams, or any other critical purpose.
  • The Service is not a substitute for professional advice, education, or instruction.
10. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
  • WARRANTIES AS TO THE ACCURACY OR RELIABILITY OF ANY CONTENT OR OUTPUT.

Your use of the Service is at your own risk.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CARDIFYAI, ITS OWNERS, DEVELOPERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE EXTENT ANY LIABILITY CANNOT BE EXCLUDED, OUR AGGREGATE LIABILITY ARISING OUT OF OR IN CONNECTION WITH THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN SUBSCRIPTION FEES DURING THE THREE (3) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $50.

12. Indemnification

You agree to indemnify and hold harmless CardifyAI, its owners, developers, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service;
  • Your User Content (including notes, PDFs, and reviews);
  • Your violation of these Terms; or
  • Your violation of any rights of a third party.
13. Suspension and termination

We may suspend or terminate your access to the Service at any time, with or without notice, if we believe you have violated these Terms, used the Service in a way that could cause harm, or for any other reason we consider appropriate.

Upon termination, your right to use the Service will immediately cease. Certain provisions of these Terms, including ownership, disclaimers, limitations of liability, and indemnity, will survive termination.

14. Third-party services

CardifyAI may integrate with or link to third-party services (for example, Stripe for payments or Anki for flashcard importing). These services are governed by their own terms and privacy policies, and we are not responsible for their content, policies, or practices.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of this page. If changes are significant, we may also provide additional notice (such as a banner in the app or email, where appropriate).

Your continued use of the Service after any changes become effective constitutes your acceptance of the updated Terms.

16. Governing law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the State of Michigan, USA, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in Michigan, USA, for the resolution of any disputes arising from or relating to these Terms or the Service.
