The rules, rights, and responsibilities that apply when you use CardifyAI and its browser extensions.

By accessing or using CardifyAI (including the website, dashboard, exports, paid plans, credits, and browser extensions), you agree to be bound by these Terms of Service. If you do not agree, please do not use the service.

1. Overview

CardifyAI (“we”, “us”, or “our”) is a web application and browser extension that helps users turn notes, lectures, PDFs, and other study materials into flashcards.

These Terms of Service govern your access to and use of CardifyAI, including the website, browser extensions, generated decks, exports, paid plans, credits, and related services (collectively, the “Service”).

By creating an account, signing in, purchasing a plan or credits, installing an extension, or using any part of the Service, you acknowledge that you have read, understood, and agree to these Terms and our Privacy Policy.

2. Eligibility and Account Use

You may use CardifyAI only if:

  • You are at least 13 years old, or the minimum legal age in your jurisdiction
  • You have the legal authority to agree to these Terms
  • You comply with these Terms and all applicable laws

If you use the Service on behalf of an organization, you represent and warrant that you are authorized to accept these Terms on its behalf.

You are responsible for maintaining the security of your account, devices, and login methods, and for all activity that occurs under your account.

3. Description of the Service

CardifyAI allows users to submit text and uploaded content for flashcard generation, review and edit cards, manage decks, export generated content, use browser extension features, and access plan-based or credit-based usage.

We may add, remove, modify, improve, limit, or discontinue features at any time in order to operate, secure, or improve the Service.

4. Plans, Billing, and Credits

CardifyAI may offer guest access, free usage, paid subscription plans, and one-time credit purchases. Current pricing, plan names, included usage, and credit offerings are displayed on the website and may be updated from time to time.

  • Free and guest access: We may offer limited usage without payment or without an account.
  • Paid plans: Paid subscriptions may include recurring billing and plan-specific usage allowances.
  • Credits: We may offer one-time credits that allow additional generation beyond free or included usage.
  • Usage model: Credits may be used after free or included plan usage is exhausted, depending on the plan structure then in effect.
  • Plan changes: We may change pricing, usage allowances, feature access, and plan structure prospectively.

We will not retroactively revoke services already paid for during an active billing period, except where necessary for legal, abuse-prevention, security, or operational reasons.

5. Billing, Renewals, Refunds, and Cancellation

Payments are processed by third-party payment providers such as Stripe. By purchasing a paid product, you authorize the applicable payment processor to charge your selected payment method.

  • Renewals: Subscriptions may renew automatically unless canceled before renewal.
  • Cancellation: You may cancel a recurring subscription at any time through the billing tools we make available.
  • Effect of cancellation: Cancellation generally stops future renewals but does not retroactively refund prior charges.
  • Credits: One-time credit purchases are generally non-refundable once delivered, except where required by law or where we decide otherwise in our sole discretion.
  • Billing issues: If payment fails, we may suspend or limit paid features until the issue is resolved.

6. Acceptable Use

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your personal, educational, or internal use.

You agree not to:

  • Use the Service for unlawful, harmful, abusive, fraudulent, or deceptive purposes
  • Upload or submit content you do not have the right to use
  • Infringe intellectual property, privacy, or other legal rights
  • Bypass or abuse usage limits, billing flows, credits, or account systems
  • Reverse engineer, decompile, or attempt to derive source code except where permitted by law
  • Use bots, scraping, automation, or scripts in a way that harms the Service
  • Transmit malware, spam, or harmful code
  • Resell or sublicense CardifyAI without our prior written consent

We may suspend, restrict, or terminate access if we believe your use violates these Terms or creates legal, financial, operational, or security risk.

7. Your Content

You may submit content to CardifyAI, including text, notes, PDFs, reviews, and generated decks (“User Content”). You retain ownership of your User Content.

By submitting User Content, you grant us a limited, non-exclusive, royalty-free, revocable right to host, process, store, transmit, display, and use that content solely as needed to operate, maintain, secure, improve, and provide the Service for you.

This includes generating flashcards, storing decks, enabling exports, processing support requests, moderating reviews, and working with service providers such as hosting, payment, and AI infrastructure providers.

You represent and warrant that you have all necessary rights to submit your User Content and that it does not violate any law or third-party rights.

8. Browser Extensions

CardifyAI browser extensions are part of the Service and are governed by these Terms.

The extensions are intended to support the flashcard workflow by allowing you to send selected text to CardifyAI and interact with your account through browser-supported functionality.

You agree not to use the extensions in a way that violates browser marketplace policies, website terms, or applicable law.

9. AI-Generated Content Disclaimer

CardifyAI uses artificial intelligence systems to help generate flashcards and related outputs based on your input. Your submitted content may be processed by third-party AI services solely for the purpose of generating results and operating the Service.

  • AI-generated output may contain errors, omissions, simplifications, repetition, or outdated information
  • You are responsible for reviewing and verifying output before relying on it for studying, exams, or other important purposes
  • The Service is not a substitute for professional, academic, legal, medical, or other specialized advice

We do not guarantee that generated content will be accurate, complete, original, or suitable for your intended use.

10. Reviews and Feedback

If you submit reviews, testimonials, or other feedback about CardifyAI, you grant us permission to display, reproduce, and distribute that content in connection with the Service and our promotional materials, subject to moderation.

We may edit for clarity, moderate, or remove reviews or feedback at our discretion.

11. Intellectual Property

CardifyAI, including its software, design, branding, logos, interface, text, graphics, and related materials (excluding User Content), is owned by us or our licensors and is protected by applicable intellectual property laws.

Except as expressly permitted by these Terms, you may not copy, distribute, modify, reverse engineer, sell, license, or create derivative works from CardifyAI or any part of it without prior written permission.

12. Service Availability and Changes

We aim to keep CardifyAI available and functioning well, but we do not guarantee uninterrupted, error-free, or always-available service.

We may perform maintenance, deploy updates, change infrastructure, limit features, or suspend parts of the Service at any time.

We are not liable for downtime, delays, interruptions, or data issues caused by maintenance, third-party failures, force majeure events, internet problems, or circumstances outside our reasonable control.

13. Suspension and Termination

You may stop using CardifyAI at any time.

We may suspend or terminate your access, with or without notice, if:

  • You violate these Terms
  • Your use creates legal, billing, abuse, or security concerns
  • We are required to do so by law
  • We discontinue all or part of the Service

Provisions that by their nature should survive termination will survive, including those relating to payments owed, disclaimers, limitations of liability, intellectual property, indemnification, and dispute-related provisions.

14. Third-Party Services

CardifyAI may integrate with or rely on third-party services such as authentication providers, hosting providers, payment processors, AI infrastructure providers, and export destinations.

Those third-party services are governed by their own terms and privacy policies, and we are not responsible for their content, actions, policies, or practices.

15. Disclaimers

THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND AVAILABILITY.

YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CARDIFYAI AND ITS OWNERS, OPERATORS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITY, OR EDUCATIONAL OUTCOMES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE 12 MONTHS BEFORE THE CLAIM AROSE, OR (B) US $50.

17. Indemnification

You agree to defend, indemnify, and hold harmless CardifyAI and its owners, operators, affiliates, licensors, and service providers from and against claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • Your use of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any law or third-party rights
18. Privacy

Your use of CardifyAI is also governed by our Privacy Policy, which explains how we collect, use, and protect your information.

19. Governing Law

These Terms are governed by the laws of the State of Michigan and the United States, without regard to conflict of law principles, except where applicable law requires otherwise.

You agree to submit to the exclusive jurisdiction of the courts located in Michigan, USA, for the resolution of disputes arising from or relating to these Terms or the Service.

20. Changes to These Terms

We may update these Terms from time to time. When we do, we will update the “Last updated” date at the top of the page.

If changes are significant, we may provide additional notice through the app or website. Your continued use of CardifyAI after updated Terms take effect means you accept the revised Terms.
